Terms of Service
These Terms govern your use of Likelio, a desktop spreadsheet application published by Likelio ("Likelio", "we", "us"). By purchasing, downloading, or using Likelio, you agree to these Terms.
1. Eligibility
You must be at least 18 years old, or of the age of majority in your jurisdiction, and able to form a binding contract. If you are using Likelio on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. License grant
Subject to these Terms and your payment of the applicable fees, we grant you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable license to install and use Likelio on up to three (3) devices that you own or control, for your internal personal or business use.
"Lifetime" defined. A "lifetime" license entitles you to use the version of Likelio current at purchase and to receive updates to that product line for as long as Likelio operates it. "Lifetime" does not mean perpetual or eternal: if Likelio discontinues the product line or ceases operations, the license terminates with respect to features that depend on Likelio services (e.g. activation check-ins). The locally-installed binary you have already downloaded continues to run subject to applicable third-party-license obligations.
Team licenses. If you purchased a multi-seat tier, seats are assigned to named individuals. You may reassign a seat by removing the prior holder; you may not pool, share, or rotate seats among more concurrent users than you have paid for.
3. Permitted and prohibited use
You may not, and may not allow any third party to:
- Resell, redistribute, sublicense, lease, or rent Likelio or your activation key.
- Reverse engineer, decompile, or disassemble Likelio, except to the limited extent applicable law expressly permits.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
- Share, publish, or otherwise disclose your activation key to any third party.
- Use Likelio to violate any applicable law, infringe any third-party right, or transmit malicious code.
- Use Likelio to develop a competing product or to benchmark for competitive purposes without our prior written consent.
4. Account and activation keys
You sign in via a third-party identity provider (currently GitHub, Google, or Microsoft). You are responsible for the security of the account you sign in with and for all activity on your Likelio account. Notify us immediately if you believe your activation key has been disclosed or your account compromised.
Likelio periodically validates your activation key with our servers. Brief network outages do not affect your ability to use Likelio offline; extended periods without successful check-in may temporarily limit use until validation succeeds.
5. Fees, taxes, and refunds
Prices are listed in U.S. dollars and are exclusive of applicable taxes (e.g. VAT, GST, sales tax), which we may collect on Stripe's behalf depending on your jurisdiction. Payment is processed by Stripe; we do not see or store your card details.
Refunds. If you are dissatisfied, you may request a full refund within fourteen (14) days of purchase by emailing support@likelio.dev. Refund requests after that period are at our sole discretion. Activation keys associated with refunded or charged-back purchases are revoked.
6. Updates and continued service
We will use commercially reasonable efforts to deliver bug fixes, performance improvements, and new features to the licensed product line. We may modify, add, or discontinue specific features at any time. We may release some features as "beta" or "experimental"; those features are provided AS IS with no service-level commitment.
7. Intellectual property
Likelio, and all associated trademarks, logos, and source code, are owned by Likelio and its licensors and are protected by copyright, trademark, and other laws. These Terms grant you a license to use Likelio, not a sale of intellectual property rights.
Open-source notices. Likelio incorporates components distributed under permissive open-source licenses (including Apache-2.0, MIT, ISC, BSD, MPL-2.0, and SIL OFL-1.1). Required attributions and license texts are surfaced inside the application on the open-source acknowledgements screen.
Your data. Likelio is local-first. You retain all rights to the data you create, edit, or open in Likelio. We claim no rights to your spreadsheets, queries, or files.
8. AI and MCP integrations
Likelio includes an optional Model Context Protocol (MCP) server that lets you connect a third-party AI assistant of your choice (such as Claude Desktop, ChatGPT desktop, or Cursor) to your spreadsheet. When you do so, the data you choose to share with that assistant is sent to that assistant's provider under their privacy policy and terms — not ours. You are responsible for the consequences of any data you ask an AI assistant to process.
9. Disclaimer of warranties
LIKELIO IS PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF CALCULATIONS OR DATA, OR THAT LIKELIO WILL BE UNINTERRUPTED OR ERROR-FREE. YOU ARE RESPONSIBLE FOR BACKING UP YOUR FILES AND VERIFYING ANY OUTPUT YOU RELY ON.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LIKELIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATING TO YOUR USE OF LIKELIO, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LIKELIO'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
11. Indemnification
You agree to defend, indemnify, and hold harmless Likelio and its officers, employees, and contractors from any claim or demand, including reasonable attorneys' fees, arising out of your breach of these Terms, your misuse of Likelio, or your violation of any third-party right or applicable law.
12. Termination
We may suspend or terminate your license without refund if you materially breach these Terms (including by sharing activation keys or initiating a chargeback in bad faith). Sections 3, 7, 9, 10, 11, and 13–17 survive termination.
13. Export controls and sanctions
You represent that you are not located in, nor are you a national or resident of, any country or region subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
14. Governing law and disputes
These Terms are governed by the laws of [State, Country], without regard to its conflict-of-laws principles. The parties will first attempt to resolve any dispute informally by contacting support@likelio.dev. Any dispute that cannot be resolved informally will be brought exclusively in the courts located in [Venue], and you consent to personal jurisdiction there.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the site, and we will update the "Effective" date above. Your continued use of Likelio after the effective date constitutes acceptance of the updated Terms.
16. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Likelio regarding Likelio. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
